1. Purpose

These Terms and Conditions (“Terms”) govern the use of HorizonAI (“Company”) services, including AI-powered tools, personalized AI creation, multi-agent chat, automated workflows, file uploads and RAG processing, AI tool subscriptions, friend invitations and AI-sharing features, admin console, and related functionalities (“Service”). They establish the rights, obligations, and responsibilities between the Company and the user.
Matters related to the collection, use, retention, de-identification, personalization, and marketing of personal data not expressly set forth in these Terms shall be governed by the Privacy Policy.
“AI Tool” means an artificial intelligence–based function provided by the Company
or a third party, which is available to users on a subscription basis as an individual
functional unit.
“Usage” means the number of calls or equivalent usage units deducted only when
an AI tool invocation is successfully completed.
“Friend AI” means the AI associated with another user who is connected to the user
through a friend relationship within the Service.

2. Effectiveness & Amendments

1.
By creating an account or using the Service, users agree to these Terms.
2.
The Company may revise these Terms for legal compliance, service enhancement, or operational reasons.
3.
Changes will be announced at least 7 days in advance, and 30 days for significant updates.
4.
Users who do not agree with updated Terms must stop using the Service and delete their account.

3. Account Creation & Authentication

1.
Accounts may be created only via invitation links.
2.
Registration requires OAuth authentication through Google, Kakao, LinkedIn, or other supported providers.
3.
Users are responsible for maintaining the security of their login credentials.
4.
The Company is not liable for account misuse unless caused by the Company’s negligence.
5.
Accounts inactive for 12 months may be suspended, and related personal data may be segregated or deleted.

4. Personal Data Processing

The Company processes personal data in compliance with applicable laws. The collection, use, retention, deletion, de-identification, service-related notifications, statistical analysis,
personalization, and any use of personal data for marketing shall be governed by the Privacy Policy.
Personal data shall be used for marketing or promotional purposes only where the user has provided prior consent, and such consent may be withdrawn at any time.

4-1. Automated Processing and AI-Based Services

The Service may involve automated processing to provide AI-based features.
Such processing is conducted solely for service functionality and does not result in legal or similarly significant effects on users.

5. Description of Service

The Service includes:
Personalized AI agent creation and system prompt management
Tool-based subscription (search, document generation, code generation, image generation, automation tools)
Friend invitation and AI tool sharing
Multi-agent chat tagging (up to 4 AIs)
Power Research (PDCA-based deep research AI)
Discussion Mode (structured debate between multiple AIs)
Automated workflows and scheduled tasks
File uploads (RAG documents), image processing, and storage
Downloadable AI outputs (PDF, Word, PPT, etc.)
Admin console (member management, revenue dashboards, announcements, etc.)
Features may be added, modified, or discontinued as needed.
The Company may modify, add, limit, or discontinue any part of the Service as necessary for operational, technical, or policy reasons.

6. User Content & Intellectual Property

6.1 Ownership of Inputs & Outputs

All data provided by users and AI-generated outputs belong to the user.
The Company may use de-identified or aggregated data and statistical metadata solely for service quality improvement and system stability, as further described in the Privacy Policy.

6.2 Nature of AI Outputs and Disclaimer

AI outputs are generated using statistical and probabilistic methods and may contain inaccurate, incomplete, or misleading information.
The Company does not guarantee the accuracy, completeness, reliability, or suitability of AI outputs for any particular purpose. Users shall use AI outputs solely as reference materials and must not rely on them as the sole basis for decision-making.

7. Prohibited Activities

Users must not engage in the following:
1.
Uploading personal or sensitive information of others without consent
2.
Generating harmful, violent, extremist, hateful, discriminatory, self-harm, child-exploitative, or explicit content
3.
Relying solely on AI for professional disciplines (medical, legal, tax, investment, etc.)
4.
Bypassing rate limits or generating excessive automated traffic
5.
Distributing malware, phishing, scams, or conducting social engineering
6.
Reverse-engineering AI models, automated scraping, or unauthorized access
7.
Uploading content infringing third-party copyrights, trademarks, or trade secrets
8.
Interfering with normal operations of the Service or using it for illegal purposes
9.
Uploading, processing, or sharing images or videos containing the face of any third party without the explicit and lawful consent of such third party. Any legal liability arising from such violation shall be borne solely by the user.

8. Service Availability & Incident Response

1.
The Company strives for high availability but may temporarily suspend the Service due to maintenance, updates, security measures, or force majeure.
2.
In case of outages, the Company will restore the Service promptly and notify users accordingly.
3.
Features may be added, modified, or discontinued based on operational decisions.

9. AI Limitations & Risk Notice

1.
AI outputs may include inaccuracies, distortions, biases, or hallucinations.
2.
Users are responsible for validating AI-generated outputs.
3.
AI outputs must not be used as sole guidance for medical, legal, financial, or professional decisions.

9.1 Administrative Access Restriction

The Company does not access or review users’ AI conversation content during service operation.
Conversation data is processed in a technically restricted environment and handled only within the scope necessary to provide automated service functions.

10. Limitation of Liability

The Company shall not be liable for:
The accuracy, completeness, or suitability of AI-generated outputs
Any damages arising from the use or reliance on AI-generated outputs or automation results
User-provided input data or the results derived from such data
Damages resulting from the user’s failure to properly manage settings or permissions
User decisions made based on automated processing results
Service interruptions, data loss, or data corruption
Issues arising from errors, outages, or policy changes of third-party services (including but not limited to OpenAI, Paddle)
Damages arising from the use of AI tools by the user or by a Friend AI
Except in cases of willful misconduct or gross negligence.

11. AI Tool Subscription and Usage

1.
The Company provides AI tools on a tool-based subscription model.
2.
Users may use only those AI tools to which they are subscribed, and each AI tool may include a monthly base usage allowance.
3.
Usage is deducted only when an AI tool invocation is successfully completed.
4.
Monthly base usage allowances expire on the next billing date, while any additionally purchased usage may be used as long as the subscription remains active.
5.
The Company may modify the composition of AI tools, the method of service provision, or the criteria for usage calculation as necessary for service operation or technical reasons.

12. Friend AI Usage and Sharing Features

1.
The Company may provide features that allow AI tools subscribed by a user to be used by the user’s own AI or by a Friend AI authorized by the user.
2.
Any usage incurred through the use of AI tools by a Friend AI shall be deducted from the account of the user who subscribed to the relevant AI tool.
3.
Where the user permits the use of a Friend AI, RAG reference data associated with the friend’s account may be utilized in the process of generating AI responses.
In such cases, the use of RAG data is strictly limited to the purpose of generating AI responses based on the user’s request and is carried out only within the scope of functionality provided based on the friend relationship.
4.
The user is responsible for setting and modifying permissions for the Friend AI’s use of AI tools, and any responsibility arising from the results of the Friend AI’s use of AI tools or any issues resulting therefrom shall rest with the user.
5.
Users are responsible for configuring and managing permissions for Friend AI usage, and any consequences arising from a Friend AI’s use of AI tools shall be the sole responsibility of the user.
6.
The Company does not intervene in usage relationships between Friend AIs or disputes between users and shall not be liable for any damages arising therefrom.

13. Payments and Refunds

1.
Payments for AI tool subscriptions and additional usage purchases are not processed directly by the Company. Instead, a payment service provider acts as the Merchant of Record and processes such payments.
2.
The Company does not store or process users’ card information or payment method details.
3.
The Company only verifies limited payment result information necessary for service operation, such as payment completion status, subscription status, and payment identifiers.
4.
Refunds are processed in accordance with applicable laws and the Company’s refund policy, and the timing of refunds may vary depending on the payment method.

14. Refund Policy Summary

1.
Users may request a refund within seven (7) days from the payment date, provided that the relevant AI tool has not been used at all.
2.
Refunds may be restricted if any portion of the AI tool or usage allowance has been consumed.
3.
Upon subscription cancellation, no refund will be provided for the already paid subscription period, and users may continue to use the Service until the next billing date.
4.
Details regarding refunds are governed by the Company’s separate refund policy.
5.
For users residing in the European Union (EU) or the European Economic Area (EEA), applicable consumer protection laws allow the user to request a withdrawal (refund) within 14 days from the payment date; however, if the use of AI tools or digital services has commenced during that period, the right of withdrawal may be restricted or lost.
6.
For users residing in Japan, cooling-off rights under Japanese law generally do not apply to digital services.

15. Limitations of AI Outputs and Automation Results

AI outputs and the results of automated features are generated based on statistical and probabilistic processes.
Due to limitations in data, input information, model characteristics, or system conditions, such outputs may include inaccuracies, incompleteness, bias, or hallucinations.
The Company does not warrant that AI outputs or automated results are error-free or suitable for any specific purpose, and these technical limitations are inherent to AI-based services.

16. Third-Party Services and Liability

1.
The Service may include APIs, content, or functionalities provided by third parties.
2.
Any issues arising from the use of third-party services shall be governed by the terms and policies of the respective third parties, and the Company shall not be liable for such issues.

17. Subscription & Billing Summary

Monthly auto-renewal
Tool-based subscription
Monthly allotments expire on the next billing date
Additional top-up credits expire when the subscription ends
Refunds available within 7 days of purchase if unused (processed within 7 business days)
Users residing in the European Union (EU) or the European Economic Area (EEA) may withdraw (request a refund) within 14 days from the payment date; however, the right of withdrawal may be restricted or lost if the use of AI tools or digital services has commenced during that period.

18. Termination

Users may delete their accounts at any time. The Company may terminate accounts for violations of these Terms.

19. Governing Law

These Terms are governed by the laws of the Republic of Korea.
